These Terms & Conditions ("Terms") govern your use of the QuillWizard website and services. QuillWizard ("QuillWizard", "we", "our", or "us") is a sole proprietorship operating under the QuillWizard name.

Acceptance of Terms

By accessing our website, requesting a proposal, or engaging our services, you agree to these Terms and any additional agreements such as proposals, statements of work, or order forms.

Services

We provide product strategy, SaaS development, design, engineering, AI integration, and launch support. Specific deliverables are detailed in each proposal or statement of work.

Project Scope & Revisions

Project scope, timelines, and milestones are defined in the applicable statement of work. Requests outside the agreed scope may require a change order and additional fees. We will confirm any revisions in writing before proceeding.

Payments & Billing

Invoices are due upon receipt unless otherwise stated in a signed agreement. Subscription or retainer engagements are billed in advance for each period. You authorize us and our payment processor to charge your payment method for recurring or milestone-based fees.

Payments may be processed by Paddle.com (our merchant of record) or other providers. Paddle may collect additional information necessary to complete transactions and handle taxes. By making a purchase, you agree to Paddle's buyer terms where applicable.

Taxes

Prices exclude taxes unless stated otherwise. You are responsible for any applicable sales, use, VAT, GST, or similar taxes, except where QuillWizard or Paddle is required to collect and remit them.

Refunds, Cancellations, & Chargebacks

Refund eligibility is described in our Refund Policy. Subscription cancellations apply to future billing periods and do not retroactively reduce fees already incurred.

If you initiate a chargeback without first contacting us to resolve a billing issue, we may suspend ongoing services while the dispute is investigated.

Client Responsibilities

Clients agree to provide timely feedback, access to required systems, and content needed to complete the project. Delays in client feedback may impact delivery timelines.

Intellectual Property

Upon full payment, clients receive rights to the deliverables specified in the project agreement. QuillWizard retains ownership of pre-existing materials, templates, and know-how.

Clients grant QuillWizard a limited license to use client-provided materials solely to perform the services. Clients represent they have the rights to provide those materials.

Confidentiality

Both parties agree to keep confidential information private and use it only to fulfill the engagement. Confidentiality obligations do not apply to information that is publicly available or independently developed without reference to the confidential information.

Third-Party Services

We may integrate or recommend third-party services, tools, or hosting providers. Your use of third-party services is subject to their terms and policies, and we are not responsible for third-party outages, changes, or data handling.

Acceptable Use

You agree not to misuse the website or services, including attempting to gain unauthorized access, introducing malware, or using the services to violate any laws or third-party rights.

Warranties & Disclaimers

Services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where prohibited by law.

Limitation of Liability

QuillWizard is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the fees paid for the services in question.

Indemnification

You agree to indemnify and hold QuillWizard harmless from claims arising out of your use of the services, your content, or your violation of these Terms.

Termination

Either party may terminate an engagement with written notice. Work completed up to the termination date will be invoiced, and any remaining balance is due upon receipt.

Suspension & Non-Payment

We may suspend services or access to deliverables if invoices are overdue. We may resume services after outstanding balances are paid and any reactivation fees are settled.

Governing Law

These Terms are governed by the laws of the jurisdiction in which QuillWizard operates, without regard to conflict of law provisions. Any disputes will be resolved in that jurisdiction's courts unless otherwise agreed in writing.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the website or services after changes become effective constitutes acceptance of the revised Terms.
